FINEFFE GROUP: Mail Boxes Etc. International becomes Italian.


Fineffe Holding acquires the international activities of MBE from UPS.

The Fiorelli family will manage the Mail Boxes Etc. business today present in 31 countries with over 1,200 locations.

May 12 2009 – Atlanta, Georgia, The holding company of the Fiorelli family – Fineffe S.r.l. – has signed an agreement for the acquisition of Mail Boxes Etc. from MBE, Inc. – a wholly owned subsidiary of UPS (NYSE: UPS). The global agreement provides also for UPS to continue as the preferred carrier for express services offered at the international retail stores.

Founded in 1980 in San Diego, California, Mail Boxes Etc. is the world’s largest franchising network in the field of postal services, communication and support to business activities and private individuals.

The contract signed today in the United States ratifies the acquisition by Fineffe, through its newly formed affiliate MBE Worldwide, of all the activities at the international level of Mail Boxes Etc., which today total 1,223 operating centres in over 31 countries for a 2008 aggregated turnover of about 330 millions of Euros. The agreement includes the brand and business format. Finally, Fineffe assumes all existing Master Licensee agreements globally (except for North America and India, which still remain under MBE, Inc.).

The agreement has an important strategic value for Fineffe because it extends, through its affiliate MBE Worldwide who has becomes the MBE International Franchisor, its leadership in the franchising arena gained at European level, where the company led by Graziano and Paolo Fiorelli controls Mail Boxes Etc. activities in Italy, Spain, Germany and Austria. In greater detail, currently Fineffe manages a network of 807 MBE operating centres, of which 529 in Italy, 136 in Spain and a total of 142 in Germany and Austria, with an aggregate turnover in 2008 of 216 millions of euros (a growth rate of 12% compared with 2007).

In addition, the agreement provides that the business ties with UPS will be furthered strengthened through the signing of a global agreement that will further enhance the cooperation between the two companies and their respective networks “I must say that the emotion is powerful. To go from the role of licensee for four countries to that of holder of the brand and related activities at the world level crowns a fantastic business venture and opens enormous prospects for development in the 31 countries where MBE is present today and in the many others where it still isn’t,” declared Graziano Fiorelli, Founder and President of the Group.

“We started as a Master Licensee in 1993, and it was our dream to have the opportunity to develop this network globally,” said Paolo Fiorelli, CEO of MBE Worldwide. “The UPS relationship is critical moving forward as we collaborate to add greater value to the Mail Boxes Etc. brand as we grow.”

From the financial standpoint, the acquisition was completed including financing granted by Gruppo Intesa San Paolo.

The Fineffe Group is the holding company of the Fiorelli Family business interests, operating since 1993 with affiliates for retail services under the following brands: Mail Boxes Etc., Western Union, Direfarestampare and Credit Planet. Founder and Chairman Graziano Fiorelli joins son Paolo, CEO, to direct more than 300 associates from its Milan headquarters. The company generated consolidated revenue of more than US$193 million (€145 million) in 2008.
